Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the VISNEST platform, website, and services, operated by Visnest Private Limited ("VISNEST", "we", "us"). By accessing or using VISNEST, you agree to be bound by these Terms, our Privacy Policy, and — where applicable — our Data & AI Consent. If you do not agree, do not use the platform.
Eligibility
You must be at least 18 years old and capable of forming a binding contract to use VISNEST. If you use the platform on behalf of a company or other entity, you represent that you are authorised to bind that entity to these Terms.
Account Registration & Security
You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account, and must notify us immediately of any unauthorised use.
Our Services
VISNEST provides a startup-ecosystem platform that may include AI-assisted pitch deck generation, a startup directory and visibility tools, networking and startup events, training and mentorship, and related venture-support features. Features may be added, changed, or discontinued at our discretion.
Acceptable Use
You agree to use VISNEST only for lawful purposes. You must not submit false or misleading information, infringe intellectual property or other rights, upload unlawful or harmful content, attempt to access other users' accounts, scrape or harvest data, interfere with the platform's operation, or use it to send spam.
Payments, Fees & Refunds
Paid features, credits, and subscriptions are billed in Indian Rupees (INR) and processed through our payment partner, Cashfree. By purchasing, you authorise the applicable charges. Because pitch decks, listings, and digital services are delivered or consumed immediately, all sales are generally final and non-refundable except where required by law or expressly stated; any refund request will be considered on a case-by-case basis. Subscriptions and listings remain active for their stated period.
Intellectual Property
Content you submit and the startup materials and pitch decks you generate remain yours, and you grant VISNEST a licence to host, process, and display them as needed to provide the services (including your public directory listing where you choose to list). The VISNEST platform, brand, software, templates, and underlying systems are owned by VISNEST and protected by law; you may not copy, resell, or redistribute them without permission.
AI-Generated Content
Pitch decks, financial projections, recommendations, and other outputs are generated with the assistance of artificial intelligence and may be combined with human review. Such outputs may contain inaccuracies or omissions and are provided for your reference only. You are responsible for reviewing, verifying, and editing any AI-generated content before relying on or sharing it. VISNEST does not warrant the accuracy or completeness of AI outputs.
Non-Circumvention
Any founder, investor, startup, institution, corporation, mentor, advisor, grant provider, customer, vendor, or ecosystem partner introduced by VISNEST shall remain protected under VISNEST's non-circumvention policy for a period of twenty-four (24) months from the date of introduction. Any transaction, investment, engagement, partnership, acquisition, consulting arrangement, grant, procurement, or commercial relationship entered into between the parties during this period shall entitle VISNEST to the applicable success fee, facilitation fee, or damages as per VISNEST's Policy, irrespective of whether VISNEST was directly involved in the final transaction.
No Guarantee & Advisory Disclaimer
VISNEST provides tools, guidance, and introductions but does not guarantee any business success, funding, investment, grant, partnership, valuation, legal approval, or financial outcome. Nothing on the platform constitutes legal, financial, investment, or tax advice. Decisions you make based on the platform are your own responsibility.
Third-Party Services
The platform integrates third-party services (such as Cashfree for payments, Firebase for authentication, and LinkedIn for embedded content). Your use of these is subject to their respective terms and policies, and VISNEST is not responsible for them.
Confidentiality
Each party shall protect the other's confidential business information shared through the platform, use it only for the purposes contemplated by these Terms, and apply commercially reasonable confidentiality measures.
Termination
We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or for conduct we reasonably believe is harmful to VISNEST, its users, or third parties. You may stop using the platform at any time. Provisions that by their nature should survive — such as intellectual property, non-circumvention, disclaimers, and limitation of liability — will survive termination.
Limitation of Liability
To the maximum extent permitted by law, VISNEST and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business arising from your use of the platform. The platform is provided "as is" and "as available" without warranties of any kind. Our total aggregate liability shall not exceed the amount you paid to VISNEST in the three (3) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless VISNEST, its affiliates, and personnel from any claims, losses, liabilities, and expenses arising out of your use of the platform, your content, or your breach of these Terms or applicable law.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. The courts at Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes, subject to any applicable arbitration or dispute-resolution process required by law.
Changes to Terms
We may modify these Terms from time to time. Updates are effective when posted, and the "Last updated" date will be revised. Your continued use of the platform after changes constitutes acceptance of the revised Terms.
